Terms of Service

By creating an account, accessing, or using the Service, you agree to these Terms on behalf of yourself and, where applicable, the organization you represent. You confirm that you have the authority to bind that organization to these Terms.

KuwaLog is warehouse management software offered in two modes — Inventory & Distribution and Asset Tracking — available on the web and on mobile devices. We may update, add, or remove features over time.

Accounts are provisioned within an organization workspace (a tenant). You are responsible for keeping your credentials confidential and for all activity under your account. Workspace administrators are responsible for managing their users and the data within their workspace. Notify us promptly of any unauthorized use of an account.

You agree not to:

• use the Service for any unlawful purpose;
• upload or transmit malicious code;
• attempt to gain unauthorized access to the Service, its systems, or other accounts;
• interfere with or disrupt the integrity or performance of the Service;
• reverse engineer or attempt to extract the source code of the Service, except to the extent permitted by law; or
• use the Service to infringe the rights of others.

As between you and KuwaLog, you and your organization own the data you submit to the Service. You grant us the rights necessary to host and process that data for the purpose of providing the Service. Your use of personal data through the Service must comply with applicable law, including the Data Privacy Act of 2012. Our handling of personal data is described in our Privacy Policy.

The Service, including its software, design, and content (excluding your data), is owned by KuwaLog and protected by intellectual property laws. Except for the limited right to use the Service under these Terms, no rights are granted to you.

Where the Service is offered on a paid basis, the applicable fees and billing terms will be presented to you. Unless stated otherwise, fees are non-refundable except as required by law.

The Service is provided on an as-is and as-available basis, without warranties of any kind, whether express or implied, to the fullest extent permitted by law. We do not warrant that the Service will be uninterrupted, error-free, or secure.

To the maximum extent permitted by law, KuwaLog will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of data, profits, or business, arising out of or related to your use of the Service.

We may suspend or terminate access to the Service if you breach these Terms or to protect the Service or its users. You may stop using the Service at any time. Provisions that by their nature should survive termination will survive.

These Terms are governed by the laws of the Republic of the Philippines, without regard to its conflict-of-laws rules. The courts located in the Philippines will have jurisdiction over any disputes, subject to applicable law.

We may update these Terms from time to time. Material changes will be reflected by updating the date above. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
